1. Introduction

Platform Overview and Identification

Welcome to spind, a web-based platform (the “Platform”) created, developed, and operated by Selektial Software Solutions Private Limited (“Selektial,” “we,” “us,” or “our”), a company incorporated under Indian laws. The main goal of spind is to connect people with different roles—such as startup founders, co-founders, collaborators, and investors—so they can work together. Founders can post about their startup ideas or projects, collaborators can find opportunities to offer their skills, and investors can look for startups to support financially.

Acceptance of Terms

By accessing, browsing, or signing up for the Platform and its services (collectively the “Services”), you (“User,” “you,” or “your”) confirm that you have read, understood, and agree to follow these Terms and Conditions (the “Terms”), as well as any other policies (like our Privacy Policy) that are mentioned here. Your use of the Platform means you agree to everything stated in these Terms.

Legal Capacity

You promise that you have the legal right and ability to enter into a valid contract under the laws of India (especially the Indian Contract Act, 1872). If you do not agree with any part of these Terms or do not meet the legal requirements, please stop using the Platform right away.

2. Definitions

  • “User”: Anyone (individual, company, partnership, or organization) who visits or uses the Platform in any way.
  • “Founder”: A User who posts or plans to post startup projects on spind to find co-founders, collaborators, or investors.
  • “Collaborator”: A User with a certain skill set—like coding, design, or marketing—who applies for or shows interest in roles within a startup.
  • “Investor”: A User who wants to invest funds, resources, or support into a startup, following the legal guidelines in India (including SEBI regulations).
  • “Content”: Anything a User adds to the Platform, including text, images, logos, and links to other websites.

3. Eligibility

Age Requirement

You must be at least 18 years old to create an account or use any part of the Platform.

Compliance with Indian Law

Your activities on the Platform must follow all applicable Indian laws and regulations, such as the Information Technology Act, 2000, the Companies Act, 2013, and SEBI rules.

Investor Eligibility

  • SEBI Compliance: If you use spind as an Investor, you must follow the rules set by the Securities and Exchange Board of India (SEBI), including those for private placements under the Companies Act, 2013.
  • Accredited/HNI Investors: Some investments may only be open to Accredited Investors or High Net Worth Individuals, as per SEBI’s requirements, or through SEBI-approved Alternative Investment Funds. It is your duty to make sure you meet these requirements.
  • No Public Offerings: spind does not run public security offerings. Any investment deal on the Platform is private and follows Indian law.

4. Registration and Account Security

Account Creation

You can sign up on spind through (a) email registration with OTP verification or (b) your Google account.
You promise that all the information you provide is correct, current, and complete, and that you will update it whenever it changes.

Security

You are responsible for keeping your login details (password, OTP, or similar) secret and safe.
If you suspect any unauthorized use of your account, please tell us right away.

No Multiple Accounts for Misleading Purposes

Creating multiple accounts to deceive others or bypass our rules is forbidden. If we find such accounts, we may suspend or terminate them without warning.

5. Platform Use and Conduct

Permitted Use

  • Posting Projects: Founders can share detailed information about their startups, including open positions, skills needed, and compensation or investment terms.
  • UNI
  • Applying or Investing: Collaborators can apply for roles that match their expertise, and Investors can explore investment opportunities and contact Founders.

Prohibited Activities

  • Illegal or Offensive Content: Do not post anything illegal, defamatory, harassing, or otherwise objectionable.
  • Intellectual Property Violations: Do not upload or share content you do not have the rights to.
  • Misrepresentation: Do not lie about or inflate your identity, skills, or financial resources.
  • Security Violations: Do not hack, disrupt, or introduce harmful code into the Platform.
  • Unlawful or Exploitative Recruiting: Do not demand application fees, security deposits, or post MLM schemes.

User Responsibility

Everything you post or share on the Platform must be legal, accurate, and appropriate. You must also follow any guidelines we might post on the Platform in the future.

6. Posting and Content Guidelines

Accuracy of Information

  • Founders: You must ensure the details about your startup—like descriptions, stage of development, and payment structures—are truthful and complete.
  • Collaborators & Investors: You must be honest about your skills, experience, and financial capacity.

License to Use Your Content

By posting your content on spind, you give Selektial the right to use, store, modify, reproduce, display, and share that content, but only for running and improving the Platform.

Removal of Content

We may remove or edit any content that we believe goes against these Terms or is harmful in any way, without needing to inform you first.

7. Investment and Funding-Related Disclaimers

No Investment Advice

We do not provide legal, financial, tax, or investment advice. Any information on the Platform is general and should not replace professional advice.

No Solicitation

The Platform does not offer or advertise public securities. We do not run public offerings under any circumstances.

Regulatory Compliance

  • Founders: You must follow all relevant Indian laws (like the Companies Act, 2013, SEBI, and RBI rules) when raising funds.
  • Investors: You must check and confirm your own eligibility (for example, HNI or Accredited status) under the law.

Risk Acknowledgment

All startup investments carry risk, including the possibility of losing your entire investment. We do not guarantee the success or profitability of any project.

8. Unpaid Roles or Fees

Unpaid Roles

If you post a role that offers no salary (for example, only equity, volunteering, or “experience-only”), you must clearly mention that it is unpaid. We reserve the right to review these postings and remove them if they break labor laws or seem exploitative.

No Fees for Applicants

Do not charge any application or placement fees, security deposits, or similar charges to people applying for a role. Violating this rule may lead to immediate suspension or permanent removal from the Platform.

9. Intellectual Property Rights

Selektial’s Ownership

We (Selektial) own all rights to the Platform’s content, code, and design (unless noted otherwise). These are protected by Indian and international intellectual property laws.

User-Generated Content

You keep ownership of what you create and share. However, by submitting your content, you give us the limited license mentioned in Section 6 so we can operate the Platform.

Trademarks

“spind,” “Selektial,” and associated names or logos are our trademarks. You cannot use them without our express permission.

10. Third-Party Services and Analytics

Analytics

We may use third-party analytics tools (like Firebase Analytics or Google Analytics) to track and improve how people use the Platform.

External Links

The Platform may include links to other websites or services. We are not responsible for any content or actions by those websites, and we recommend you do your own research before using them.

11. Privacy and Data Protection

Privacy Policy

Our Privacy Policy explains how we collect, use, and protect personal information. By using the Platform, you agree to our data practices.

User Consent

By using spind, you consent to the ways we handle your data as described in our Privacy Policy.

No Unauthorized Data Use

You must not copy or scrape other users’ data for spam or any unauthorized use.

No Using spind Data for AI/ML

Unless we formally agree in writing, you cannot use automated scripts or any method to gather data from the Platform for training or enhancing AI, machine learning, or related technologies.

12. Code of Conduct; Prohibited Content

Professional Conduct

You agree to remain polite, professional, and respectful in all communications on spind.

Harassment and Offensive Content

Do not harass, bully, discriminate, or engage in hate speech. Do not promote illegal activities.

Reporting

If you see something suspicious or abusive, please tell us immediately so we can look into it and take appropriate action.

13. Fees and Payment (Potential Future Features)

Free Access (For Now)

Currently, spind’s basic features may be available at no cost.

Possible Paid Services Later

If we decide to introduce paid or premium features, we will notify you about pricing, payment methods, and any refund policy details.

Refund Policy

Except as required by law or stated in a specific plan, fees for premium features (if introduced) will generally not be refundable.

14. Limitations of Liability

“As Is” Disclaimer

We provide the Platform and its content “as is” and “as available,” without any warranties or guarantees.

Liability Exclusions

To the fullest extent allowed by Indian law, Selektial is not responsible for:

  • Direct, indirect, or special damages from using or not being able to use the Platform.
  • Lost profits, data, or business opportunities.
  • Claims or actions by others related to your use of or inability to access the Platform.

Force Majeure

Selektial is not liable for failures or delays caused by events beyond our control (natural disasters, strikes, internet outages, government actions, etc.).

15. Indemnification

You agree to compensate and protect Selektial (and its affiliates, directors, employees, and agents) from any claims, damages, or expenses (including legal fees) that arise from:

  • Your use or misuse of the Platform.
  • Your breach of these Terms or any law.
  • Your infringement on others’ rights or misrepresentation of your identity or skills.
  • Disputes between you and other Users, such as Founders, Collaborators, or Investors.

16. Termination and Suspension

Termination by User

You can stop using spind at any time by deleting your account in the account settings.

Termination by Selektial

We can suspend or terminate your account if we believe you’ve broken these Terms or any laws. We can do this without warning.

Effect of Termination

When your account is terminated, you immediately lose the right to use the Platform. Sections about intellectual property, indemnification, and liability limits will still apply even after termination.

17. Governing Law and Dispute Resolution

Governing Law

These Terms follow the laws of India, without considering any rules about conflicts of law.

Jurisdiction

Any legal disputes related to these Terms must be brought in the courts located in [City/State], India.

Arbitration Option

We may choose to settle disputes through binding arbitration under the Indian Arbitration and Conciliation Act, 1996, with proceedings in [City], India, conducted in English.

18. Compliance with Other Regulations

  • Corporate Law: Users who form or invest in startups through spind must follow the Companies Act, 2013, and related regulations.
  • FEMA Regulations: If you are a foreign User or investor, you must comply with the Foreign Exchange Management Act (FEMA) and RBI rules for cross-border transactions.
  • SEBI Regulations: Any investment on spind must comply with SEBI guidelines (like the SEBI (Alternative Investment Funds) Regulations, 2012).
  • Tax Compliance: You alone are responsible for figuring out and paying any taxes (like GST or TDS) that come from your activities on the Platform.

19. Changes to These Terms

Right to Amend

We can update or change these Terms at any time, and the new version becomes effective as soon as we post it on the Platform.

User Notification

We may let you know about major changes by email or a noticeable message on the Platform, but it is ultimately your job to check these Terms regularly. Using spind after changes means you accept the updated Terms.

20. Miscellaneous

Entire Agreement

These Terms (along with any other policies, like the Privacy Policy) make up the complete agreement between you and Selektial about using the Platform. They override any earlier agreements or discussions.

Severability

If a court finds any part of these Terms invalid or unenforceable, that part will be removed, but the rest will remain in effect.

No Waiver

If we do not enforce a part of these Terms, that does not mean we are giving up that right.

Assignment

You may not pass on your rights or duties under these Terms without our written permission. We can assign or transfer our rights at our discretion (for example, if we merge with another company).

Electronic Communications

You agree that emails, Platform notifications, and other electronic messages satisfy any requirement that notices and communications be in writing.
